Effective Date: January 19, 2026 Ultramarkets is a margin trading interface for prediction markets, developed by Ultra Development Labs (“Ultramarkets,” “we,” “us,” or “our”), located at 30 N Gould Street STE N, Sheridan, Wyoming 82801. By using Ultramarkets, you agree to these Terms of Use.

Beta Notice

Ultramarkets is currently in beta. The platform is provided “as-is” and “as-available” for testing purposes. During beta:

• Features may change, break, or be removed without notice
• You may encounter bugs, errors, or unexpected behavior
• Data loss or service interruptions may occur
• We may modify or discontinue features at any time

Your use of beta features is at your own risk. We’re not obligated to provide specific features or maintain availability.

Eligibility & Restricted Regions

Prediction markets are restricted or prohibited in certain jurisdictions. You are responsible for ensuring that your use of Ultramarkets complies with the laws of your region. By using Ultramarkets, you confirm that:

• You are at least 18 years old (or the age of majority in your jurisdiction)
• You are legally permitted to use prediction market services where you reside
• You are not using VPNs or other tools to bypass regional restrictions

We reserve the right to restrict access based on location at any time.

Underlying Trading Venues

Ultramarkets is an interface layer that executes trades on third-party prediction market platforms. Currently, the primary underlying venue is Polymarket. We may integrate additional partners and venues in the future. Ultramarkets does not operate its own prediction market. We do not control the resolution of events, the availability of markets, or the liquidity on underlying venues. You are subject to the terms, rules, and risks of these third-party platforms in addition to these Terms.

Your Responsibilities

• Digital Assets & Keys: You are solely responsible for your wallet, private keys, and digital assets. We do not custody your funds or store your keys. If you lose access, we cannot recover your assets.
• Compliance: You must follow all applicable laws when using Ultramarkets.
• Account Security: Keep your credentials secure. You’re responsible for all activity under your account.
• Reporting Bugs & Errors: If you encounter bugs, errors, or unexpected behavior, you are responsible for promptly reporting them to us. Failure to report known issues may result in losses that we cannot address. Report issues to support@ultramarkets.xyz.

Risks

Using Ultramarkets involves significant risks. By using the platform, you acknowledge and accept the following:

Liquidation Risk

Leveraged positions can be liquidated if your position health falls below required thresholds. Liquidation may occur rapidly during volatile market conditions. You may lose your entire margin. Ultramarkets force-closes all positions before event resolution to manage gap risk. This is not optional.

Smart Contract Risk

Ultramarkets relies on smart contracts deployed on blockchain networks. Smart contracts may contain bugs, vulnerabilities, or exploits that could result in loss of funds. While we take security seriously, no smart contract is guaranteed to be free of risk.

Market & Volatility Risk

Prediction market prices can move rapidly and unpredictably. Leverage amplifies both gains and losses. You may lose more than your initial margin in extreme conditions.

Liquidity Risk

There may be times when liquidity is insufficient to open, close, or liquidate positions at expected prices. Slippage and partial fills may occur.

Platform & Technical Risk

The platform may experience downtime, bugs, delays, or failures. Blockchain network congestion or outages may prevent timely execution of trades or withdrawals.

Counterparty & Protocol Risk

Ultramarkets integrates with external prediction markets such as Polymarket. Issues with these underlying platforms, including smart contract failures, regulatory actions, or operational problems, may impact your positions and funds.

Regulatory Risk

Prediction markets and leveraged trading may be subject to evolving regulations. Changes in law could restrict access to the platform or affect your ability to withdraw funds. You should only trade with funds you can afford to lose.

No Investment Advice

Nothing on Ultramarkets constitutes financial, investment, or trading advice. All information is for informational purposes only. You are solely responsible for your trading decisions. Past performance is not indicative of future results. You may lose some or all of your funds.

Fees

Using Ultramarkets may involve fees, including platform fees and blockchain network fees. Fee structures may change. Estimated costs will be displayed before transactions.

Limitation of Liability

To the fullest extent permitted by law, Ultramarkets and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Digital assets carry inherent risks including volatility and security vulnerabilities. You assume all such risks.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted in the English language by a single arbitrator in Sheridan, Wyoming, or remotely at the arbitrator’s discretion. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND ULTRAMARKETS AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR OR OUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative, class, or collective proceeding.

Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Disclaimer of Warranties

THE PLATFORM, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, SERVICES, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE PLATFORM, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, ULTRAMARKETS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• Warranties arising from course of dealing, usage, or trade practice
• Warranties that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• Warranties regarding the accuracy, reliability, timeliness, or completeness of any information or content
• Warranties regarding the results that may be obtained from use of the platform

No advice or information, whether oral or written, obtained from Ultramarkets or through the platform shall create any warranty not expressly stated herein.

Indemnification

You agree to indemnify, defend, and hold harmless Ultramarkets and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees, including reasonable attorneys’ fees, arising out of or relating to:

• Your use of the platform or any activity under your account
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of any third party
• Any dispute between you and any third party, including other users
• Any regulatory inquiry, investigation, or enforcement action related to your use of the platform
• Your negligence or willful misconduct

Ultramarkets reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

Sanctions & Restricted Persons

By using Ultramarkets, you represent and warrant that:

• You are not located in, organized in, or a resident of any country or territory that is the subject of comprehensive U.S. sanctions, including, but not limited to, Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine, or any other jurisdiction designated by OFAC
• You are not identified on the U.S. Department of Treasury’s Specially Designated Nationals and Blocked Persons List, Foreign Sanctions Evaders List, or any other sanctions list maintained by OFAC
• You are not identified on any equivalent sanctions list maintained by the United Nations, European Union, United Kingdom, or other applicable jurisdiction
• You are not acting on behalf of, or for the benefit of, any person or entity described above
• You will not use the platform to facilitate transactions with any such person, entity, or jurisdiction
• Your funds do not originate from, and will not be used to finance, any illegal activity, including money laundering, terrorist financing, or sanctions evasion

Right to Block

We reserve the right, in our sole discretion and without notice, to block, restrict, suspend, or terminate your access to the platform if we reasonably believe you are in violation of any of the above representations, or if required by law, regulation, or any governmental authority. We may also be required to freeze, seize, or report your assets or account information to relevant authorities.

Termination & Suspension

We may, in our sole discretion and without prior notice or liability:

• Suspend or terminate your access to all or any part of the platform for any reason, including breach of these Terms
• Remove or disable access to any content or feature at any time
• Modify, discontinue, or restrict the platform or any part thereof temporarily or permanently
• Refuse service to anyone for any reason

Upon termination:

• Your right to use the platform ceases immediately
• You remain liable for all obligations incurred prior to termination
• All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, and Intellectual Property

We are not liable to you or any third party for any termination of your access to the platform.

Prohibited Uses

You agree not to use the platform to:

• Violate any applicable law, regulation, or third-party rights
• Engage in market manipulation, wash trading, front-running, or any fraudulent activity
• Use bots, scripts, spiders, scrapers, crawlers, or other automated tools to access or interact with the platform without our express written permission
• Attempt to gain unauthorized access to the platform, other accounts, computer systems, or networks connected to the platform
• Conduct or attempt to conduct any security testing, penetration testing, vulnerability scanning, or similar activity without our prior written authorization
• Interfere with or disrupt the integrity or performance of the platform or related systems
• Transmit any viruses, malware, or other malicious code
• Circumvent, disable, or otherwise interfere with security-related features of the platform
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Harvest, collect, or store personal information of other users
• Use the platform for any purpose that is unlawful, harmful, or otherwise objectionable

Violation of these prohibited uses may result in immediate termination of your access without notice, and may be reported to law enforcement authorities where appropriate.

Intellectual Property & Feedback

Our IP

The platform, including all content, features, functionality, software, text, graphics, logos, trademarks, and other materials, is owned by Ultramarkets or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the platform without our express written permission.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your personal, non-commercial use.

Feedback

If you provide us with any feedback, suggestions, ideas, or other information regarding the platform (“Feedback”), you hereby assign to Ultramarkets all right, title, and interest in and to such Feedback. You agree that Ultramarkets may use, reproduce, modify, distribute, and otherwise exploit such Feedback without restriction, attribution, or compensation to you. You waive any moral rights you may have in such Feedback.

Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. If you disagree with updated Terms, you may decide to stop using the platform.
